Our policy in giving Resellers status of Reseller with Non-Exclusive rights is the following:

• The Reseller has the right to receive Licenses with the discount which depends of the number of licenses bought at a time (Prices for licenses, granted by the Licensor to the Reseller, are set in the price-lists). The payment should be made by Wire Transfer according to our invoice.
  
  
• The Reseller undertakes the obligation to transfer license payments (royalty) to the Licensor for provided licenses for the program as an advance payment. The payment is made according to the invoice by a direct bank transfer to the Licensor's settlement account.
  
  
• The Reseller undertakes the obligation to distribute the program in the Contractual Territory to third parties on a freely negotiable basis, and, if necessary, manage the marketing and distribution of the program on his own. All expenses for marketing and distribution of the program are borne by the Reseller.
  
  
• The Reseller himself promotes the Licensor's products at his local market (making investment in it if necessary) and makes profit from selling the Licensor's products, and the Licensor 's company receives payment for each license it delivers to the Reseller depending on the number of licenses he purchases each time.
  
  
• In case the Licensor draws an Exclusive Resellers License Agreement with a third party for a particular country of the world or a group of countries, the Licensor will notify Reseller by email that this Agreement effect from the certain date does not apply to the particular country of the world or the group of countries, and that Licensor's obligations under this Agreement with respect to this country will be terminated. Such a notification must be sent at least 15 days prior to the date when the Exclusive Resellers License Agreement becomes valid.

Our policy in giving Resellers status of Reseller with Exclusive rights is the following:

• Reseller can obtain exclusive rights for selling any (or all) of the Licensor's products in a particular country (number of countries), on the terms that Reseller pays monthly payments for exclusive rights, which payment may vary from country to country and is the subject to negotiation with the Licensor.
  
  
• The status of the exclusive reseller is kept only if the Reseller pays a certain sum to the Licensor. This sum is not connected to the sums paid for licenses and cannot be counted as a payment for licenses granted by the Licensor.
  
  
• There will be no accumulation of the number of licenses granted to the Reseller. Prices for licenses, granted to Reseller, are set in the price-lists and they are calculated separately for each purchase. Prices per license depend solely on the number of licenses bought each time by the Reseller.
  
  
• The Agreement can be cancelled in the following cases:
